Velvac Online Store – Terms of Service 

These Terms of Service (the “Terms”) govern your access to and use of the Velvac online store and related services (collectively, the “Services”). 

The Services are operated by Velvac, Inc. (“Velvac,” “we,” “us,” or “our”) and are powered by Shopify, which enables us to provide the Services to you. 

By visiting, interacting with, or using the Services (including placing an order), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. 

If you are using the Services on behalf of a business entity, you represent that you have authority to bind that entity, and “you” includes the entity.

2. Eligibility and customer types (B2C and B2B) 

You must be at least the age of majority in your jurisdiction to purchase from or use the Services. We do not implement a technical age-verification “backstop.” 

The Services support both: 

  • B2C/DTC customers (direct-to-consumer retail customers in the United States); and 

  • B2B customers (business purchasers, including fleets, shops, distributors, and resellers in the United States and Canada). 

3. Export and resale restrictions 

B2C/DTC purchases are for use within the United States only and may not be exported. 

B2B customers seeking to export products must have a CTPAT form on file with Velvac and must comply with all applicable laws and restrictions. 

We may refuse or cancel orders that appear to violate these restrictions. 

4. Orders, acceptance, and cancellations 

When you place an order, you are making an offer to purchase products. An order is considered accepted when we issue an order confirmation and payment is authorized and captured (or otherwise confirmed). 

We reserve the right to refuse, cancel, or limit orders at any time, including for suspected fraud, inventory constraints, pricing or listing errors, export restrictions, or other operational reasons. 

Order changes/cancellations: At launch, Velvac does not allow customers to cancel or modify orders after placement. 

5. Pricing, taxes, and payment 

All prices are subject to change without notice. We may correct errors, inaccuracies, or omissions (including after an order has been submitted) and may cancel orders affected by such errors. 

Taxes: Phase 1 launch plans indicate no sales tax will be charged at checkout. We reserve the right to collect applicable taxes in the future (including for B2C customers in Phase 2) and to require exemption documentation where applicable. 

Payment: We accept payment methods presented at checkout. Certain approved B2B customers may be eligible for purchasing on payment terms; if so, additional terms may apply. 

Refunds: Credit-card refunds are issued back to the original card. For approved terms accounts, refunds are generally issued as account credit/credit remittance, consistent with Velvac’s practices. 

6. Shipping; title and risk of loss 

Shipping options, estimated timelines, and fees are presented at checkout or in our Shipping Policy [LINK]. 

FOB Velvac locations: Title and risk of loss pass to you when the products are tendered to the carrier at the Velvac shipping location (FOB shipping point), unless otherwise required by law. 

For shipments to Canada, the customer is responsible for customs, duties, and import-related charges unless otherwise stated. 

7. Returns and refunds policy 

Returns and refunds are governed by our Returns/Refund Policy. The Returns/Refund Policy may include different terms for B2C and B2B customers; Velvac is currently refining this document. 

At launch, Velvac intends to retain its existing return concepts, including restocking fees and exclusions for custom and made-to-order products, where applicable. 

8. Warranty and disclaimers 

Products may be covered by Velvac’s published Warranty Policy [LINK] (the “Warranty Policy”). To the extent permitted by law, any express warranty is limited to the terms of the Warranty Policy. 

Except as expressly set out in the Warranty Policy or required by law, the Services and products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 

9. Limitation of liability 

To the maximum extent permitted by law, Velvac and its affiliates, officers, directors, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services or purchase/use of products. 

To the maximum extent permitted by law, Velvac’s total liability for any claim arising out of or related to the Services or these Terms will not exceed the amount you paid to Velvac for the product(s) or Services giving rise to the claim, or $100, whichever is greater, unless otherwise required by law. 

10. Indemnification 

You agree to indemnify, defend, and hold harmless Velvac and its affiliates from and against any claim or demand (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Services, or your violation of any law or the rights of a third party. 

11. Intellectual property 

All content, trademarks, logos, and materials on the Services are owned by or licensed to Velvac and are protected by applicable laws. You may use the Services for lawful purposes and may not reproduce, distribute, or exploit content except as permitted by law or with Velvac’s prior written consent. 

12. Prohibited uses 

  • Using the Services for any unlawful purpose or in violation of any applicable law; 

  • Attempting to interfere with the security or operation of the Services (including introducing malware or attempting unauthorized access); 

  • Using the Services to infringe intellectual property rights or to harass, abuse, or harm others. 

13. Termination 

We may suspend or terminate your access to the Services at any time for any reason, including suspected fraud, misuse, or violation of these Terms. 

14. Governing law; venue 

These Terms and any dispute arising out of or related to the Services are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Venue for any action shall be in Waukesha County, Wisconsin, USA, unless otherwise required by law. 

15. Changes to these Terms 

We may update these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. 

16. Relationship with Shopify 

Velvac is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Velvac. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Velvac, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Velvac.

Our collection, use, and disclosure of personal information is described in our Privacy Policy.
